Case Overview

On July 13, 2022, Celsius Network LLC and certain of its affiliates (collectively, the "Celsius Debtors") filed voluntary petitions for relief under Chapter 11 of the United States Bankruptcy Code in the U.S. Bankruptcy Court for the Southern District of New York.

Case Details:
The cases of the Debtors are pending before the Honorable Martin Glenn in the U.S. Bankruptcy Court for the Southern District of New York and are being jointly administered under Case No. 22-10964.

On November 9, 2023, the Bankruptcy Court entered the Findings of Fact, Conclusions of Law, and Order Confirming the Modified Joint Chapter 11 Plan of Celsius Network LLC and Its Debtor Affiliates (the "Confirmation Order"), pursuant to which the Bankruptcy Court approved and confirmed the Modified Chapter 11 Plan of Reorganization of Celsius Network LLC and Its Debtor Affiliates (the "Plan").

⚠️ Notice Regarding Completed Distribution Communications and Ongoing Phishing Attempts

Important Security Alert:
On April 25, 2025, the Post-Effective Date Debtors began sending emails to creditors who have Claims in Class 4 (Convenience Claims), Class 6A (General Custody Claims), or Class 6B (Withdrawable Custody Claims) who have fully redeemed their distributions under the Plan.

The Post-Effective Date Debtors are aware of continued phishing attempts purporting to be related to these Chapter 11 Cases. For example, creditors have reported emails purportedly from Celsius or Stretto asking them to log into a "claims portal" to provide their wallet information and receive their distribution.

Key Points to Remember:

  • Many phishing emails state that the distribution will be made in ethereum or ether
  • These emails include a one-time passcode or authorization code to access a fake "claims portal"
  • Celsius is not making distributions directly to creditors' wallets
  • For the avoidance of doubt, the second distribution will only be made in USDT
  • Celsius does not send a one-time passcode as part of an email informing a creditor of their distribution status
  • The one-time passcode used to log in to the legitimate Celsius Claims Portal is sent when a creditor takes the affirmative action to log in to such portal

Tips to Avoid Phishing

Check email address and links. Make sure the sender's email and website links are correct and exactly match one of the email addresses above. Create filters to only allow emails from the list above.
Look for mistakes. Scammers often make spelling and grammar errors in emails.
Hover over link. On a computer, put your mouse over a link to see where it goes. Make sure it's directing you to the websites above.
Watch for "Dear Customer." Official emails usually use your name, not "Dear Customer."
Be careful with urgent messages. Scammers may try to scare you into acting fast.
Don't open unknown attachments. They might have viruses or phishing links. Don't open on a phone first, because phones don't allow you to hover to check the link.
Check the email signature. Look for contact information and make sure it looks professional.
Use two-factor authentication (2FA). This makes your accounts safer.
Never connect your crypto wallet to strange sites. Even if they look like Celsius .

Overview

Celsius was a global cryptocurrency platform and Bitcoin mining company that emerged from Chapter 11 bankruptcy on January 31, 2024.

App Shutdown Notice: On February 29, 2024, the Celsius mobile and web apps were shut down, as a part of the winding down of its business operations, as detailed in the Plan of Reorganization. This has no impact on ongoing claim distributions to creditors.

Distribution Information

Beginning on February 1, 2024, claim distributions to Eligible Creditors are being made in cryptocurrency and US dollars. Some creditors are eligible to receive equity shares in Ionic Digital LLC, which is the reorganized mining business, formed following the emergence from bankruptcy in accordance with the Plan.

Overview

As approved by the Court, certain individual creditors that reside outside the United States, and in jurisdictions supported by Coinbase, will receive their claim distributions in BTC and ETH to their Coinbase account.

Important Deadline Notice:
As per the Coinbase Agreement, individual (non-corporate) creditors must have received at least one claim distribution by November 9, 2024. After this date, any non-US creditors who had not received a cryptocurrency claim distribution at Coinbase were automatically assigned a Cash distribution partner. Celsius will sell the cryptocurrency allocated for their distribution at market prices as close as reasonably practical to an expected USD distribution.

Who is eligible for Coinbase distributions?

Individual creditors residing outside the United States in jurisdictions supported by Coinbase are eligible to receive cryptocurrency distributions via Coinbase. Corporate creditors and US-based creditors receive distributions through alternative methods such as PayPal/Venmo or Hyperwallet.

How do I set up my Coinbase account?

If you are eligible for Coinbase distributions, you should receive an email invitation to create or link your Coinbase account. Follow the instructions in the email carefully and ensure you are visiting the official Coinbase website (coinbase.com) before entering any credentials.

Important: Never click links in unsolicited emails claiming to be from Coinbase or Celsius. Always navigate directly to the website by typing the URL in your browser.

When will I receive my distribution?

Distribution timing varies based on your claim class and the schedule approved by the Court. Check your email regularly for updates from Celsius Distribution regarding your specific distribution timeline.

What are the tax implications?

Tax implications vary by jurisdiction. We recommend consulting with a qualified tax professional in your country to understand the tax treatment of your cryptocurrency distribution.

What if I have issues with my distribution?

If you experience issues with your Coinbase distribution, please first verify that you have completed all required KYC (Know Your Customer) verification steps on Coinbase. If issues persist, contact Celsius Distribution Support.

I cannot open the Celsius app anymore, and I never got my assets back. What do I do in this situation?

The Celsius app being shut down has had no impact on distributions to creditors.

On February 29, 2024, the Celsius app was shut down, as a part of the winding down of its business operations, as detailed in the Plan of Reorganization. Creditors should reference their emails from Celsius or Stretto with more details on their claim, as creditor recoveries are highly individualized and dependent on a variety of factors.

While former Custody account holders, or users with Post-Petition deposits, with eligible balances to withdraw have missed the window to withdraw their assets in-kind, there is more detail in this FAQ on how a distribution will be made to them in the event of inaction to timely withdraw their Custody assets.

Former Earn account holders, who have not been able to utilize most features of the Celsius app for some time, are receiving their distribution via a Distribution Partner such as PayPal/Venmo or Coinbase.

If you have not received communication about your distribution, or believe that your personal information previously on file with your Celsius account was incorrect, please initiate a support inquiry.

What happens to my Custody assets if I did not withdraw them from the Celsius app before it closed?

If you did not request to withdraw your eligible Custody assets by February 28, 2027, these assets were converted to USDT as described in the Plan. Your distribution will be made through an assigned Distribution Partner and you will receive further communication about this process via email.

Important: If your total Custody assets convert to less than $10 USD and you did not withdraw such assets from your Celsius account before the Celsius app closure, such assets will not be distributed and will instead be returned to the Estate.

Any distribution that is unclaimed or otherwise remains undeliverable for one year after the first attempt to deliver, shall be treated as unclaimed property under the Plan and returned to the Estate for future distributions made under the Plan to eligible creditors.

I want to receive my Custody assets in-kind, not in BTC/ETH or USD. How can I get them back?

The deadline to withdraw Custody assets in-kind has passed (February 28, 2027). As described in the Plan [Docket №4289], these assets were converted into BTC/ETH and are being distributed via a Distribution Partner such as PayPal/Venmo or Coinbase.

I opened a support ticket related to my Celsius account. Now that the Celsius app is closed, is it too late for my issue with my account to be resolved?

Stretto and Celsius are continuing to provide customer support resources to former Celsius account holders. Changes to your personal information can still be made through customer support - such as name changes, address updates, date of birth corrections, or required updates to your contact information.
